Terms and Conditions of Purchase

GENERAL

In these Terms and Conditions of Purchase (“Purchase Terms”):

1. “Customer” means an individual or a legal entity purchasing Product directly from Filigris Works.

2. “Filigris Works” means:

3. “Product” means any software program or service made available by Filigris Works, unless otherwise expressly stated in these Purchase Terms. The use of Product by Customer is governed by the applicable Terms of Use.

4. “FlexDoc.XYZ” means one of the following:

5. “Filigris Works Website” or “FlexDoc.XYZ Website” means any website that is the property of Filigris Works including but not limited to everything hosted under the domains:

6. “Terms of Use” mean the terms and conditions of end-user license agreement, subscription terms, terms of service, or other standard customer agreements set forth by Filigris Works and applicable to Product in addition to these Purchase Terms.

7. “Privacy Policy” means the Privacy Policy of Filigris Works available at https://www.flexdoc.xyz/legal/privacy.php, which may be updated from time to time.

8. “Personal data” means any information relating to an identified or identifiable natural person.

Customer accepts these Purchase Terms by placing an order for Product with Filigris Works.

ORDER PLACEMENT AND ACCEPTANCE

Customer may place an order with Filigris Works:
  1. online on FlexDoc.XYZ Website (https://www.flexdoc.xyz/store/); or
  2. by email using the appropriate contact information of Filigris Works
Order details shall be in English. Customer can modify order details before acceptance of Customer’s order by Filigris Works by submitting a written notice to Filigris Works. English is the preferred language for order-related enquiries.

Any order is not binding upon Filigris Works until accepted by Filigris Works. Non-acceptance of an order may be the result of one of the following:

  1. failed payment;
  2. incomplete or incorrect order details, such as missing email address for delivery, missing Customer billing address, or a pricing or product description error, among others;
  3. for any reason at the sole discretion of Filigris Works.
Any additional or conflicting terms on an order will not apply unless specifically agreed to in a separate written agreement signed by Filigris Works.

PRICES AND PAYMENT TERMS

These terms apply to Products that are offered to Customer in return for a fee paid to Filigris Works.

Filigris Works, at its sole discretion, sets the prices for Products in several currencies (EUR, USD), which Customer may select in the case of online order.

For online orders, to accept and process the payment, Filigris Works uses the electronic gateway of a third-party Payment Service Provider (PSP), currently Stripe.com, who accepts major debit and credit cards. After filling out the online order form, Customer is forwarded automatically to PSP's checkout page to complete the payment. Filigris Works does not handle any payment details and is not responsible for

  1. the payment processing carried out by PSP,
  2. any payment failure resulting from inaccurate payment card details provided by Customer,
  3. any restrictions applicable to payment card by Customer’s bank,
  4. payment gateway failure, or
  5. misuse, abuse, unauthorized use, or fraudulent use of Payment cards.
In the case of email orders, Filigris Works will only accept Purchase Orders from corporate Customers. Such orders can only be paid in EUR via bank transfer on net 30 days terms (payable within 30 days from the date Products are delivered), unless otherwise specified by Filigris Works.

PRODUCT DELIVERY

Filigris Works ships no physical Products. In general, all software Products are available free for downloads on FlexDoc.XYZ Website: https://www.flexdoc.xyz/downloads/

Any details (license keys) necessary to enable Customer to use the purchased Product will be delivered by Filigris Works to Customer via email to the email address provided by Customer. Customer is responsible for providing Filigris Works with a valid email address for delivery purposes.

In the case of online orders, as soon as Customer has completed the online payment and it succeeds, Customer is forwarded back to the delivery page of FlexDoc.XYZ Website, where the purchased product (license) is available for immediate downloads. Simultaneously, a Product email is sent to the Customer's billing email address with the same downloads link.

Products shall be deemed delivered to Customer immediately or on the date when Filigris Works sends a Product email to the email address provided by Customer. Filigris Works shall not be liable for any failure to deliver Product to Customer due to non-delivery of an email message concerning Product.

TAXES AND DEDUCTIONS

Product prices do not include any national, state, or local sales tax, use tax, value added tax (VAT), goods and sales tax (GST), digital services tax (DST), or other tax (“Local Tax”).

All Products purchased from Filigris Works are subject to the German VAT in accordance with the German VAT Act (UStG). The German VAT is added to the invoice when applicable. In particular:

  1. Customers with the billing address within the European Union shall be charged German VAT.
  2. Business Customers with the billing address within the European Union are exempt from paying German VAT when:
    1. Customer provides Filigris Works with a valid VAT number (i.e. VAT ID)
    2. The delivery address is outside Germany
  3. Customer with both billing and delivery address outside the European Union is exempt from paying German VAT.

Customer bears the sole responsibility for any withholding tax liabilities, and no deductions shall be made by Customer from the amount payable to Filigris Works under any invoice.

REFUND AND EXCHANGE

In the case of online order, the refund or exchange request is accepted up to 30 days from the date of placing the order (and paying it). Customer would need to contact Filigris Works via email at support@flexdoc.xyz.

If Customer placed an erroneous order and has not yet downloaded the delivery file with the licenses (clicked the delivery file link), the refund can be granted immediately as soon as the refund request reaches us.

Otherwise, Customer has to provide the reasons of the refund. After all possibilities to resolve those problems caused the refund (e.g. fixing the software bug, exchange for other Product) have been exhausted, the refund can be granted still.

When the refund is granted:

  1. Filigris Works initiates the refund by the Payment Service Provider, who processed the payment (e.g. Stripe.com).
  2. Customer will receive the funds back to the same credit/debit card used for the payment.
  3. Customer is obliged to delete any Product license files received according to the order.
  4. Any output files/documents generated under the licenses must be erased as well.
  5. Customer may not extract any commercial benefit arisen from the temporary use of the refunded Product.
The purchase orders placed by email (and paid by bank transfer) are not eligible for refunds and exchanges.

MISCELLANEOUS

No terms and conditions other than the terms and conditions contained herein shall be binding upon Filigris Works, unless explicitly accepted by Filigris Works in writing. If Customer’s terms and conditions of purchase are different from, or are in addition to, these Purchase Terms, these Purchase Terms shall prevail and Customer’s terms are hereby rejected, unless otherwise explicitly agreed in writing with Filigris Works.

These Purchase Terms are subject to change at any time by Filigris Works by posting the updated Purchase Terms on FlexDoc.XYZ Website.

Customer declares having had sufficient opportunity to review these Purchase Terms, understood the content of all of their clauses, negotiated their terms, and sought independent professional legal advice in that respect, before accepting these Purchase Terms. Consequently, any statutory “form contracts” (“adhesion contracts”) regulations shall not be applicable to these Purchase Terms.

These Purchase Terms shall be governed by and construed under the laws of Germany, without reference to conflict of laws principles of that state or any nation state. The parties agree that any litigation relating to these Purchase Terms shall be settled by the court of competent jurisdiction in Germany, unless provided otherwise by applicable consumer law.

PERSONAL DATA

In connection with purchase of Products by Customer, Filigris Works will process Customer’s Personal Data, in particular, Customer’s contact and identification details and information concerning Customer’s payments, for the following purposes:
  1. To provide Customer with software services or information;
  2. To protect Filigris Works from piracy and unlawful use of Filigris Works software or services;
  3. To improve Filigris Works offerings based on usage;
  4. For internal evidence of Filigris Works and to protect the rights and interests of Filigris Works and other users;
  5. To promote and market Filigris Works software and services; and
  6. To fulfil legal duties stipulated by accounting, taxation, and other laws.
  7. Customer may object to processing of Customer’s Personal Data for the purposes 2 to 5 above at any time. More detailed information about personal data processing for the above mentioned purposes and about Customer’s rights can be found in the Privacy Policy.
For the above purposes, Filigris Works may process information including but not limited to Customer’s name, email address, username, physical address, telephone number, company name, and tax identification number where applicable. To receive the software, support, and services, Customer explicitly fills in their Personal Data, when Customer purchases Filigris Works Downloadable Software Product.
